1. The Promotion

1. "Zabili World Cup Knockout Predictor" (the "Competition") is a free-to-play prediction competition run by ZABILI MARKETS LTD (the "Promoter," "we," "us," "our") in connection with the knockout stages of the international football tournament taking place in 2026 (the "Tournament"). The Competition is played online through the Promoter’s website at knockout.zabili.com (the "Website").
2. By entering, you confirm that you have read, understood and agree to be bound by these Terms & Conditions (the "Terms") and by our Privacy Notice. If you do not agree, do not enter.
3. The Competition is a game of skill based on predicting match outcomes, combined with a random prize draw (Section 6). It is free to enter and play. No purchase, deposit, wager or payment of any kind is required to enter, to play, or to win, and no real-money stake is ever placed.
4. The Competition is in no way sponsored, endorsed, administered by, or associated with FIFA, any national or international football association, any broadcaster, any team or player, Instagram, Meta, X (Twitter), M-Pesa / Safaricom, or any official Tournament organiser, except as expressly stated. All team names and match references are used for identification purposes only.

2. Eligibility

1. Entry is open to individuals aged 18 years or older at the time of entry.
2. The Competition is open to entrants regardless of location. However, cash prizes are paid as set out in Section 7. Winners must be able to receive payment by the methods we offer; where a winner cannot, payment of an alternative form, or at all, is at the Promoter’s sole discretion.
3. The following persons are not eligible to win a prize: employees, officers, directors, contractors and agents of the Promoter and its group companies, and their immediate family or household members; and any person involved in organising, administering or judging the Competition.
4. One entry per person. Entrants must use accurate, current and complete details. Duplicate, automated, fraudulent or multiple entries (including entries made using multiple accounts, identities, devices or phone numbers by or on behalf of the same person) are prohibited and may be disqualified.
5. Participation is void where prohibited or restricted by law. You are responsible for ensuring that your participation is lawful in your jurisdiction.

3. How to Enter and Play

1. Predictions for each match close 20 minutes before that match’s scheduled kick-off (or as otherwise shown on the Website). All predictions for a match must be submitted and locked before its closing time; once a match closes, predictions for it can no longer be made or changed.
2. To enter, you create a free entry by choosing a username and providing a valid email address. On entry you are credited with 10,000 virtual "Zabili Credits."
3. Zabili Credits have no monetary value, cannot be purchased, redeemed, withdrawn, transferred or exchanged for cash or anything of value, and exist solely to play the Competition.
4. The Competition covers the Round-of-32 matches of the Tournament and may extend to further knockout stages (for example, a Round of 16) (together, the "Games," and each round a "Stage"). For each Game you make a prediction by selecting one of three outcomes — the first team to win, the second team to win, or a draw (a result level at the end of normal play) — and allocating Zabili Credits to that selection.
5. Each Stage is a separate prediction round: on entering a Stage you receive a fresh allocation of 10,000 Zabili Credits for that Stage, and each Stage has its own bracket, Credit balance and lock. Credits are not carried between Stages. These Terms apply equally to every Stage.
6. Where the participating teams of a Game are not yet determined (shown on the Website as "TBD" / "Awaiting teams"), that Game cannot be predicted and does not count toward the Games you must stake in order to lock. It opens for predictions automatically once its teams are determined, and normal closing times then apply.
7. Returns on a correct prediction are credited to your in-game Credit balance as follows: a correct team-win prediction returns twice (2×) the Credits allocated to it; a correct draw prediction returns three times (3×) the Credits allocated to it; an incorrect prediction returns nothing. Allocating more Credits to a prediction does not change the odds of being correct — it only changes how many virtual Credits are returned.
8. You must make a prediction on all available Games and then "lock" your selections to enter. Once locked, predictions are final and cannot be changed. You may change your selections freely up until the moment you lock.
9. Predictions must be locked before the deadline communicated on the Website (ordinarily 20 minutes before the start of the relevant match). Late, incomplete or unlocked entries are not eligible.

4. Scoring and Ranking

1. Entrants are ranked on a leaderboard by their "Final Score," which is their total Zabili Credit balance once all Games are resolved, including any verified Bonus Credits (Section 5).
2. Your live, on-Website ranking reflects the Credits returned from your predictions only. Bonus Credits (Section 5) are not added to your live score automatically; they are added only after the Tournament, once the Promoter has verified the underlying action.
3. The Promoter determines match results from the official outcomes recognised by the relevant Tournament authority, based on the result at the end of normal play (90 minutes plus stoppage time) unless the Website states otherwise for a particular Game. The Promoter’s determination of results, Credits, rankings and winners is final.
4. If a Game is cancelled, abandoned, postponed beyond the Competition period, or its result is otherwise undetermined or reversed, the Promoter may, acting reasonably, void that Game, exclude it from scoring, or otherwise adjust scoring to preserve the fairness of the Competition.
5. Each Stage is played and scored separately with its own Zabili Credit balance, which does not carry over between Stages.
6. For the Knockouts, the final leaderboard that determines the prizes in Section 6 is based on your combined performance across Stage 1 (Round of 32) and Stage 2 (Round of 16): your Final Score is the sum of your resolved Credit balances from those two Stages, together with any verified Bonus Credits (Section 5). Any later Stage (such as the Finals) is a separate free-to-play game and does not count towards the Knockouts prize leaderboard unless the Promoter expressly states otherwise on @zabilidotcom before prizes are awarded.

5. Bonus Credits and Social Actions

In addition to predicting, you may complete the following optional actions to earn additional Zabili Credits ("Bonus Credits"). All Bonus Credits are subject to verification by the Promoter after the Tournament and may be withheld if the action cannot be verified or is later undone:

• Providing and confirming your correct Instagram handle: 1,000 Credits. Your Instagram handle is required for entry into the bonus programme and is used to verify the actions below. The handle must be your own, correct and active.
• Providing and confirming your correct X handle (optional): 100 Credits. The handle must be your own, correct and active.
• Following @zabilidotcom on Instagram: 1,000 Credits.
• Following @zabilidotcom on X: 500 Credits.
• Sharing your prediction card to your Instagram story and sending it to (or tagging) @zabilidotcom: 500 Credits.

Note: Indicative Bonus Credit values are shown on the Website and may be updated. The values above reflect the current configuration.

1. Handles must be your own, correct, active and confirmed on the Website using the confirmation step provided. Bonus Credits attach only to a correct, confirmed handle; marking or confirming a handle on the Website is a declaration by you that it is genuinely yours and correct, and does not by itself award Credits. Changing a handle removes its confirmation until it is confirmed again, and any Credits claimed against an incorrect, unconfirmed, inactive, mistyped or third-party handle may be withheld or reversed.
2. To be eligible for Bonus Credits, the relevant follow must remain active, and the relevant story post must remain visible to the Promoter (by being sent to, or tagging, @zabilidotcom), at the time the Promoter carries out verification after the Tournament. Marking an action as "done" on the Website is a declaration by you and does not by itself award Credits.
3. Except as stated in Section 7 (following @zabilidotcom on Instagram as a condition of receiving a cash prize), completing social actions is optional and is not required to enter or to play. Bonus Credits may help your ranking but are not a condition of entry.
4. Bonus Credits are virtual, have no cash value, and may be withheld or reversed if the underlying action cannot be verified, is later undone (for example, unfollowing or deleting a post), or is found to be fraudulent or non-genuine. The Promoter may cap the number or value of Bonus Credits, or how far a participant can rise on the leaderboard through unverified Bonus Credits, to protect the integrity of the Competition.

6. Prizes

The prize pool is USD 3,000, awarded as follows:

1. The 1st, 2nd and 3rd place prizes are awarded to the highest-ranked eligible entrants on the final leaderboard, by Final Score in descending order. The 26 prizes of USD 50 are awarded by random draw from the pool of all eligible entrants, whether or not they finished near the top of the leaderboard.
2. Ties: Where two or more entrants are tied for a position that affects a cash-ranking prize (1st, 2nd or 3rd), the tied prize(s) will be awarded by random draw ("raffle") among the tied entrants.
3. An entrant may win no more than one prize. If an entrant who places in the top three is also drawn in the random USD 50 draw, the random prize will pass to the next eligible entrant.
4. No purchase, payment or stake performance is required to be entered into the random draw; all eligible entrants who submitted a valid, locked entry are included automatically. The draw will take place after the Tournament concludes, using a random selection method that gives each eligible entry an equal chance of selection, and the Promoter will keep a record of the result.
5. Prizes are stated in US Dollars, are not transferable, and there is no cash or other alternative except at the Promoter’s discretion. The Promoter may substitute a prize of equal or greater value if circumstances beyond its reasonable control require.
6. Zabili Credits are never themselves a prize and can never be redeemed for cash. Only the USD prizes listed above have monetary value.
7. Entrants are responsible for any taxes, levies or charges that may apply to a prize, and should seek their own advice on their tax position. The Promoter may withhold amounts where required by law and may require completion of tax or identity documentation before paying a prize.

7. Winner Notification and Payment

Conditions for receiving a prize. To receive any cash prize, a winner must satisfy ALL of the following:

• Correct email: have entered with a valid, current, working email address belonging to them, and keep it reachable.
• Correct, confirmed Instagram handle: have provided and confirmed their own correct, active Instagram handle on the Website using the confirmation step.
• Follow @zabilidotcom: be following @zabilidotcom on Instagram at the time the Promoter carries out verification.
• Correct phone number (Kenya): if located in Kenya, have provided and confirmed a correct M-Pesa phone number on the Website — the prize is paid only to that confirmed number and to no other.
• Valid payment details (outside Kenya): if located outside Kenya, provide valid payment details capable of receiving the payment when requested.
• Verification & response: respond to the Promoter’s notification and complete any reasonably required identity, age and payment verification within 14 days of first contact.
• Fair play: have complied with these Terms throughout — one genuine entry, accurate details, and genuine (not fraudulent or reversed) social actions.

1. Final Scores are calculated after the official results of all Games are known and after Bonus Credits have been verified. Winners will be determined and contacted after the Tournament using the email and/or phone number provided at entry. Winners may also be announced on the Promoter’s channels (see Section 9).
2. Announcements of winners and any other official communication regarding the Competition will be made from the Promoter’s official Instagram account, @zabilidotcom. Communications from any other account claiming to represent the Promoter should be treated as unauthorised.
3. Cash prizes are paid in US Dollars by bank or international transfer, or, at the Promoter’s discretion, paid as the equivalent value in Kenyan Shillings by M-Pesa, using the exchange rate applying at the time of payment. You cannot be paid a prize without providing valid payment details capable of receiving the payment. For entrants outside Kenya, providing payment details is optional at entry but is required in order to receive any cash prize.
4. Kenya: entrants located in Kenya are required to provide and confirm an M-Pesa phone number on the Website before completing their picks. Prizes payable by M-Pesa will be paid only to the number confirmed on the Website at the time of verification; the Promoter will not pay to any other number.
5. Receipt of a cash prize is conditional on the winner following @zabilidotcom on Instagram at the time the Promoter carries out verification, as stated on the Website.
6. Any currency-conversion costs, transfer fees, or mobile-money/bank charges may be deducted from or applied to the prize as permitted by law.
7. A winner must respond to the Promoter and provide any reasonably required verification within 14 days of the Promoter first attempting to notify them. If a winner does not respond and validly claim within 14 days, cannot be contacted, is found ineligible, or declines the prize, the Promoter may forfeit that prize and, acting reasonably, select an alternative eligible winner.
8. Payout timing: subject to a winner completing verification and providing valid, confirmed payment details, the Promoter will pay prizes within fourteen (14) days of the final match day of the Competition or, if later, within fourteen (14) days of that winner completing verification.
9. The Promoter will use reasonable efforts to contact winners but is not responsible for entrants’ incorrect, out-of-date or non-functioning contact details.

8. Data Protection and Privacy

To run the Competition we collect and process the following personal data: your chosen username, email address, phone number (where provided or, for Kenyan entrants, as required and confirmed on the Website), your Instagram and/or X handles (where provided, including their on-Website confirmation status), your country, your predictions and gameplay, and your declarations about social actions. We use this data to:

• administer the Competition, score predictions, and rank entrants;
• verify eligibility and the optional social actions in Section 5;
• contact entrants, identify winners, and arrange and pay prizes;
• prevent fraud, duplicate entries and abuse; and
• comply with our legal obligations.

1. We process this data on the basis of your consent and our legitimate interest in running the Competition fairly, and in order to take steps connected with awarding prizes. Providing data marked optional (such as your phone number or social handles) is your choice, but not providing it may mean you cannot receive a prize or earn certain Bonus Credits.
2. We retain personal data only for as long as necessary to run the Competition, pay and account for prizes, and meet our legal obligations, after which it is deleted or anonymised. We do not sell your personal data.
3. We process personal data in accordance with the Data Protection Act, 2019 of Kenya. You have rights in respect of your personal data, including to access, correct, or request deletion of it, and to withdraw consent. To exercise these rights, contact us at gm@zabili.com.
4. Verifying social actions involves viewing publicly available information on your Instagram and X profiles (for example, whether the accounts in Section 5 are followed, and whether a tagged public story was posted). We do not obtain access to your social-media account credentials.

9. Publicity

1. By accepting a prize, a winner agrees that the Promoter may publish their username (and, with the winner’s separate consent, other details) and announce them as a winner on the Promoter’s website and social-media channels, for the purpose of administering and promoting the Competition.
2. We will not publish a winner’s phone number, email address or full identity without their consent.

10. Conduct, Fair Play and Disqualification

1. The Promoter may disqualify any entrant, void any entry, and withhold or reclaim any prize where it reasonably believes the entrant has: breached these Terms; entered fraudulently or through multiple identities, accounts or devices; used bots, scripts or other automated means; tampered with the operation of the Competition or exploited a bug or error; provided false information; or otherwise acted dishonestly or in bad faith.
2. If a technical error results in Zabili Credits, scores, or prizes being awarded incorrectly, the Promoter reserves the right to correct the error, including by adjusting balances, recalculating the leaderboard, or reclaiming prizes awarded in error.
3. Any attempt to deliberately damage, manipulate or undermine the Competition may be a breach of law, and the Promoter reserves the right to seek remedies to the fullest extent permitted.

11. Liability

1. The Competition is provided on an "as is" basis. To the fullest extent permitted by law, the Promoter is not liable for: technical faults, network, device, software or connectivity failures; entries or actions that are lost, delayed, corrupted or not recorded; or any error in the Tournament, its results, or third-party platforms (including Instagram, X and M-Pesa), or any change to, postponement, or cancellation of matches by the relevant authorities.
2. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
3. The Promoter’s total liability to any entrant in connection with the Competition will not exceed the value of the prize that the entrant was eligible to win.

12. Changes, Suspension and Cancellation

1. The Promoter may amend these Terms, or suspend, modify, postpone or cancel the Competition, where it is reasonably necessary to do so (for example, due to circumstances beyond its reasonable control, including changes to the Tournament schedule, technical issues, suspected fraud, or legal or regulatory requirements). Where reasonably practicable, the Promoter will give notice of material changes on the Website or on its channels. The version of these Terms in force at the time of your entry governs your participation.

13. General

1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in force.
2. No failure or delay by the Promoter in enforcing any provision is a waiver of its rights. You may not transfer your rights or obligations under these Terms; the Promoter may assign or transfer its rights to an affiliate or successor.
3. Where any licence, permit, or notification is required for a prize competition or promotional draw in an applicable jurisdiction (including, in Kenya, any requirement of the Betting Control and Licensing Board), the Promoter will comply with that requirement.
4. These Terms, and any dispute arising out of or in connection with the Competition, are governed by the laws of Kenya, and the parties submit to the exclusive jurisdiction of the Kenyan courts.
5. These Terms, together with the Privacy Notice, are the entire agreement between you and the Promoter in relation to the Competition.
